2. Legal & compliance check

• What I’d do: verify corporate registration, ownership structure, sanctions & PEP screening, IP ownership for delivered tech, insurance certificates, data protection certifications (e.g., SOC2, ISO 27001) and pending litigation search.
• Measurable thresholds / red flags: matches on sanctions/PEP lists, active litigation > materiality threshold (e.g., claim > 10% of their revenue), absence of required data-security certification for handling customer data, unclear IP assignment.
• Escalate to: Legal and Compliance immediately for remediation or to stop onboarding.

3. Operational / delivery capability check

• What I’d do: assess technical capabilities (reference architectures, SLAs, incident history), capacity (headcount for services), business continuity (DR plan, RTO/RPO), and customer references for similar-scale projects. Conduct a security/architecture questionnaire and, if relevant, a proof-of-concept.
• Measurable thresholds / red flags: SLA financial penalties history > 3 major breaches in 12 months, RTO > acceptable window (e.g., >24 hours for critical services), failure of POC, negative reference feedback on delivery timelines or quality.
• Escalate to: Procurement, Solutions/Engineering leadership and Legal if contractual SLA or liability changes are needed.

Start by quantifying exposure and impact before choosing mitigations.

I would treat this as a build, buy, or replace decision. First I define three things: current performance, strategic value, and future potential. Reliable delivery alone is good, but if the supplier is not improving the business, I need to understand whether that is a capability gap, an incentive problem, or a strategic mismatch.

How I would decide

• Invest in supplier development if the vendor is solid on quality and delivery, has headroom to improve, and is willing to co-create changes. That can mean joint process improvement, capability audits, or shared forecasting.
• Renegotiate if the relationship is stable but the commercial terms or goals are outdated. I would reset expectations around innovation, service levels, and quarterly business reviews.
• Replace if the supplier is unlikely to change, the business needs new capability, or the market offers a better strategic fit.

Worked example
If a vendor scores 5 out of 5 on reliability, 2 on innovation, and 2 on strategic fit, I would first ask whether they can realistically move those lower scores. If they can, I would give them a time-bound improvement plan with clear targets. If not, I would start a sourcing review while protecting continuity.

Bottom line
I would not keep a vendor on trust alone. I would keep them when they still create value, develop them when the gap is fixable, and replace them when the gap is structural.

Reset the relationship
I would start with a candid reset meeting with both the partner and internal owners. I want to name the problem, but without blame: missed handoffs, unclear ownership, and slow decisions. A handoff is the point where work moves from one party to another, so I would map every handoff that has broken so far.

Governance
I would introduce a simple operating rhythm:
