Description

Key Responsibilities

A. Group Governance Framework

  • Establish and strengthen a Group-level corporate governance framework across all entities

  • Define and implement standard policies, charters, and compliance protocols

  • Ensure alignment with Companies Act, SEBI regulations, Secretarial Standards, and other applicable laws

  • Provide governance guidance to business entities and secretarial teams

  • Support Group leadership on governance, compliance, and regulatory matters

B. Standardisation of Secretarial Practices Across Group

  • Develop and implement uniform secretarial and governance processes across all group companies

  • Standardise board and committee processes, documentation formats, and compliance trackers

  • Define common templates for minutes, resolutions, statutory records, and policy documents

  • Standardise Delegation of Authority and governance documentation across entities

  • Ensure consistent adoption of defined practices across all portfolio companies

C. Enhancement & Audit of Secretarial Function Across Group

  • Review the effectiveness of the secretarial function across group companies

  • Conduct periodic secretarial / governance reviews and internal audits

  • Identify gaps in compliance, documentation, filings, and governance processes

  • Recommend and implement corrective and improvement measures

  • Define minimum governance and compliance standards for all entities

  • Build capability within secretarial teams across businesses

  • Establish group-level compliance monitoring mechanisms and dashboards

  • Track compliance status across companies and escalate risks to Group leadership

  • Act as custodian of governance quality and secretarial discipline across the Group

D. Digitalisation of Compliance & Governance Processes

  • Drive implementation of digital tools for compliance, governance, and secretarial management

  • Introduce systems for compliance tracking, board management, and document control

  • Strengthen automation of filings, approvals, and statutory records

  • Work with different teams to implement technology-enabled workflows

  • Support transition towards a system-driven, audit-ready governance environment

Qualification

  • Qualified Company Secretary with 12–18 years of relevant experience

  • Prior experience with listed companies / large corporate groups / consulting firms preferred

  • Strong exposure to Companies Act, SEBI regulations, and corporate governance requirements

  • Experience working in multi-entity / group structure will be an advantage

  • Degree in Law or familiarity with legal processes is desirable
