POSITION SUMMARY
The Corporate Counsel manages and supports transactional and corporate legal matters for OmniTRAX’s various rail and real estate business units. Assists with the drafting of agreements, reviews contract and deal terms as provided by various departments, and creates template forms for legal documents. Participates as part of the negotiating team, to a greater or lesser degree depending upon the level of the transaction. While the Legal Department does not have signature authority for the execution of contracts, the Corporate Attorney assists our commercial partners in getting final documents executed. Acts as key administrator with the storage and latter provision of executed contracts and legal agreements. Manages litigation and internal employment claims as needed. Also assists with management of corporate legal and regulatory matters.

ESSENTIAL RESPONSIBILITIES
- Assist intra-company clients: provide general contractual and transactional needs, including review and drafting of contracts and agreements for Commercial, Procurement, Engineering, Industrial Development and Real Estate, Operations, and Human Relations departments
- Acts as lead in managing the workflow level within SpringCM
- Provide legal counsel to complex and mission critical commercial transactions often involving cross-functional organizational initiatives
- Deliver legal counsel and due diligence regarding strategic acquisitions and sales by OmniTRAX and its related affiliates
- Assist with the capture, storage and management of executed documents within the OmniTRAX enterprise content management procedure and related databases
- Assist with the management of external counsel
- Assist management with employment law concerns, contracts, and policies
- Ensure compliance with trademarks, patents, intellectual property and trade secrets, and related technical contracts
- Create legal reports and correspondence; effectively present information to senior management
- Respond to inquiries from regulatory agencies, customers and the business community
- Identify and implement process improvements

- Perform other duties and projects as assigned
SUPERVISORY RESPONSIBILITIES
- Assist General Counsel with managing the Legal Department paralegals
REQUIRED QUALIFICATIONS, KNOWLEDGE, SKILLS, AND ABILITIES
- Juris Doctorate Degree with admission to state bar
- Experience in transactional area, with emphasis in property and transportation related matters.
- Excellent research and writing skills; high attention to detail
- Work independently and prioritize work to meet deadlines and business goals.
- Administrative and managerial skills
- Excellent verbal and written communication skills; effectively converse with all levels of the company, customers, business associates
- Advanced computer skills in Microsoft Office Suite
- Professional integrity and accountability
- Work in fast-paced, collaborative environment
REQUIRED CERTIFICATIONS AND LICENSES
- Colorado bar admission and license
PREFERRED QUALIFICATIONS, KNOWLEDGE, SKILLS, AND ABILITIES
- Previous experience in Rail Transportation, Supply Chain Logistics, Manufacturing and/or Oil and Gas industries
- Experience with Excel

COMPENSATION
- Estimated Starting Annual Salary: $158.996.20
- Exact starting salary is determined by merit; seniority; geographic location; education, training, and/or experience related to job duties and responsibilities
- FLSA Status: Exempt, Not Eligible for Overtime
- Eligible for Participation - Annual Discretionary Bonus
