About Eni Natural Energies Vietnam LLC

Eni Natural Energies Vietnam LLC (ENE Vietnam), established in August 2024, focuses on supporting Eni’s global strategy towards carbon neutrality by engaging in energy transition activities. ENE Vietnam’s operations include the production of bio-feedstock for Eni biorefineries, within the framework of Eni’s distinctive model of vertical integration of our biofuel supply chain, and carbon credit generation from nature and technology-based carbon offset activities. Joining ENE Vietnam means being part of a team that plays a crucial role in Eni’s Net Zero 2050 strategy, benefiting from Eni’s strong trading position and global integration. Experience a truly multicultural, supportive, and dynamic work environment with rapid learning opportunities, potential for movement across teams and international roles, and a balanced lifestyle with a comprehensive benefits package that may include health, well-being, and smart working policy.

Main responsibilities:

  • Provide legal support on all judicial and non-judicial matters impacting the Company’s agribusiness and carbon-offset activities, with a focus on waste-based feedstock sourcing and waste-to-fuel supply chains (e.g., UCO, POME). Lead the negotiation, drafting and review of complex commercial agreements, including long-term supply and offtake contracts, MoUs, project development agreements and related documentation, as well as manage interactions with the competent authorities and regulatory bodies. Ensure full compliance with applicable national and international laws, regulatory frameworks and sector-specific requirements.
  • Manage legal representation and defence activities, engaging, supervising and coordinating external legal counsel where appropriate. Evaluate and monitor the quality, timeliness and effectiveness of the legal services provided, ensuring alignment with the Company’s strategic and operational objectives.
  • Maintain regular coordination with Eni Legal and Corporate Affairs functions, ensuring consistent alignment on legal strategy and corporate compliance. Provide legal support, as required, to other Group companies, including the upstream entity operating in Vietnam, in relation to their commercial and corporate activities. Provide timely reporting and escalation of material legal and corporate issues, including threatened or ongoing litigation and potential acquisition or divestiture initiatives.
  • Ensure the proper preservation and organisation of legal documentation, maintaining accurate and up-to-date legal records, registries and bookkeeping systems in accordance with internal policies and regulatory requirements.
  • Oversee company secretarial activities and maintain regular coordination with Headquarters on governance processes, board support and corporate affairs matters, ensuring adherence to statutory and internal requirements.
  • Prepare, review and refine contractual agreements in coordination with the Legal Headquarters function, offering clear guidance on the interpretation, implementation and monitoring of existing contracts throughout their lifecycle, where needed.
  • Identify legal risks and emerging regulatory developments within agribusiness, carbon-offset regulation and carbon-credit markets, advising internal stakeholders and contributing to the development of riskmitigation strategies and best practices.
  • Health, Safety, and Environment (HSE): Employees must comply with Company Policies, HSE Integrated Management System and Procedures, report all incidents, motivate colleagues to follow HSE rules, participate in HSE initiatives, ensure contractor compliance with HSE standards, and proactively support the company's HSE objectives.

Skills and experience required:

  • Law degree from a recognised university; a postgraduate qualification (LL.M or equivalent) is considered an advantage.
  • Proven experience operating across both civil-law and common-law systems, with the ability to navigate complex, multi-jurisdictional legal environments.
  • Admission to practise law in Vietnam is a plus.
  • Extensive experience in a Legal Counsel or equivalent role within a firm or the legal department of a multinational or large-scale corporate environment, ideally within regulated or projectdriven sectors.
  • Prior exposure to agribusiness, carbonoffset activities and/or upstream oil and gas activities will be regarded as a strong asset.
  • Strong negotiation and communication skills, with high proficiency in both English and Vietnamese (spoken and written).
  • High level of digital literacy, particularly in Microsoft Office.
  • Strong analytical thinking and creative problemsolving skills, with the ability to assess complex legal and business scenarios.
  • Able to work independently while contributing effectively to multidisciplinary teams, and capable of managing multiple tasks in a dynamic work environment.
  • Strong businessdevelopment mindset, with the ability to build professional networks to support commercial initiatives.
  • Solid interpersonal skills, crosscultural awareness and management capabilities, enabling constructive engagement with diverse stakeholders at all organisational levels.
